NATURE AND MEMBERSHIP

This is a nationwide not-for-profit association Its voluntary members may be the subjects that pursuant to the legislation of the Republic of Bulgaria carry out taxi transport by cars within the framework of the Motor Transport Act (TA) and Regulations Nos. 34 and 35 ensuing there from. Bearing in mind that such subject are divided into CARRIERS and DRIVERS by TA and Regulations Nos. 34 and 35, and in fact those are Taxable Persons (TP) who may be both carriers and drivers, members of the association may be both TP and persons entered into employment contracts with TPs. TPs themselves may be: ?) physical persons: 1) having an official BULSTAD and NIC; 2) Sole Traders having a BULSTAD and Tax Registration Number (TRN); ?) legal entities. Each TP shall participate in the UNION through at least one authorised representative (regardless of the level). Each TP may participate in the UNION with more than one representative, including all of its members as well. Thus far we presented the scope of the INDIVIDUAL MEMBERS. The union may also have COLLECTIVE MEMBERS of regional or national significance, registered pursuant to the Bulgarian law who appear to be part of the BRANCH. Each collective member shall participate in the UNION with at least one authorised representative (regardless of the level). Each collective member may also participate in the UNION with more than one representative, including of its members.

Each member of the UNION may be a member of any other organization (political, trade, branch, religious or whatever). It is important to work for achieving the goals and solving the problems concerning the branch within the scope of his/her/its individual competence, capacities and strength.

The only obligation of a member of the UNION is: to work for the prosperity of every person within the branch which means compromise, compromise and compromise again within the limits of what is reasonable, objective and possible.

No membership cards shall be issued. No photos shall be collected. No special applications shall be completed.

MEMBERSHIP FEE

The membership shall be symbolic: 2 stotinki or 1 Eurocent annually for each member of the UNION, regardless of being it individual or collective member. Practically, no membership fee shall be collected.

The objective of the UNION is not to deal in accounting (receivables, payables, etc., but to cooperate for solving the problems in the branch by compromise, i. e. in a way equally satisfactory for TPs, carriers and drivers.

Should there be any need of expenditures in connection with the activities of the UNION, those shall be covered by self-contributions or by the standing members of the Managing Board (MB) or by the extended composition of the MB, as the case may be. No external funding of the UNION shall be allowed so that any of the compositions of the MB shall be unburdened upon solving whatever problem.

SEATS AND OFFICES

The FOUNDERS of the UNION shall comprise the STANDING COMPOSITION of the MB. One of the members of the MB shall be elected CHAIRPERSON and he/she shall keep the UNION’s seal. The Chairperson shall have equal rights with any other member of any of the compositions of the MB. The difference is that he/she shall be vested with representative functions and with the functions of: 1) Speaker of the UNION; 2) record-keeper of the UNION. The Chairperson may reassign his/her representative functions and the speaker’s and keeper of the record functions to any other member of the MB of any other composition at any time.

The authorised representative of any collective member shall automatically become member of the extended composition of the MB with the rank of a Co-Chairperson.

Each individual member of the UNION who succeeds in drawing 100 new individual members shall automatically become a member of the extended composition of the MB.

A meeting shall be deemed regular when attended by more than half of the members of the standing composition of the MM plus not a single one, only one, two or more of the members of the extended composition of the MB. The resolutions shall be passed with a simple majority of the attending and shall become mandatory for all members of the UNION. Each resolution passed may be re-voted unlimited number of times in accordance with the established procedure.
